The Company

$25.7 billion, and operating income of $10.2 billion.

The Position
Assist Senior Counsel in oversight of the legal aspects of the
activities of the Japan K. K., including contracts and other commercial
matters, supervision of litigation and compliance matters, compliance
with laws applicable to the company's operations, corporate governance,
and monitoring of relevant legislative and regulatory developments.

Responsibilities:
1. Handling and Coordination of Legal Matters. Provide management with
timely, accurate and constructive legal advice and support while
ensuring prompt communication and coordination of legal matters with the
International Legal Department.
2. Commercial Laws. Ensure that cost-effective efforts are carried out
to protect and promote the Company's interests under applicable
commercial laws and regulations so as to anticipate potential problems
and to ensure that current practice promotes the business plan while
reducing commercial risks to an acceptable level.
3. Changes in Law. Closely follow proposed or newly enacted laws of
significance to the Company and keep the business and International
Legal Department informed of any such developments.
4. Contracts. Ensure that all contracts and agreements executed by the
Company protect the Company's interests, support its business plans, and
are in compliance with applicable law as well as International policies
and guidelines.
5. Marketing, Sales and Distribution. Ensure that the Company's
marketing activities comply fully with applicable law and the
International Marketing Code and work with management on the development
and implementation of effective marketing, sales and distribution
activities and strategies that are within the bounds of the law and
protect the Company's assets and personnel.
6. Legal Procedures. Assess, review, and revise, as necessary, the
current legal procedures to improve efficiency and to provide proactive
legal service to the business. In particular, implement policies
relating to legal and regulatory compliance.
7. Labor/Employment. Provide assistance to the Company's human resources
management to ensure that employment contracts and dismissal and
disciplinary procedures are carried out in an effective manner,
protecting and promoting the Company's interests and ensuring that
current and potential legal risks are identified and properly managed
and that appropriate contingency plans are in place.

Experience and Attributes Required:
-A degree from an accredited law school either in Japan or other countries.
-Must be admitted to practice law in Japan.
-Five+ years' experience in a relevant practice area (e.g., commercial
transaction, corporate law), including three years' experience either in
private practice or in the legal department of a major multinational
enterprise.
-Excellent writing skills; ability to make formal presentations on legal
issues; negotiation skills; ability to analyze and advise on legal
issues; organizational skills.
-Personal integrity and full commitment to compliance.
-Ability to translate legal considerations into concise business language.
-Business savvy and customer service orientation.
